Terms of Service
Last updated: March 22, 2026
These Terms of Service (“Terms”) govern your access to and use of the devproj.org website and any related online services operated by devproj, llc (“devproj,” “we,” “us,” or “our”). By accessing or using this website, you agree to these Terms.
If you enter into a separate services agreement, master services agreement, statement of work, proposal, or other signed contract with us, that separate agreement will govern the applicable services and will control over these Terms to the extent of any conflict.
1. Website Purpose
This website is provided for general informational purposes and to allow prospective clients and others to contact us regarding our services. Nothing on this website constitutes a binding offer, guarantee of availability, or guarantee of specific results.
2. Services
devproj provides custom software development, consulting, and related engineering services. The specific scope, deliverables, timeline, fees, acceptance criteria, intellectual property terms, and other commercial terms for any engagement will be set out in a separate written agreement signed by both parties.
Submitting an inquiry, scheduling a call, or discussing a potential project does not by itself create a contract or obligate either party to proceed.
3. Contact Form and Communications
When you submit our contact form, you represent that the information you provide is accurate and that you have the right to provide it.
Submitting our contact form initiates a business inquiry only. We may respond to inquiries, but we do not guarantee any response time, availability, or acceptance of a project.
Any personal information submitted through the contact form will be handled in accordance with our Privacy Policy.
4. Intellectual Property
Your materials
You retain ownership of the content, information, and materials you submit to us. By submitting information through this website, you grant us a limited, non-exclusive right to use it solely to review your inquiry, communicate with you, and evaluate or provide potential services.
Our website content
Unless otherwise stated, the devproj name, logos, branding, website design, text, graphics, and other content on this website are owned by devproj or its licensors and are protected by applicable intellectual property laws.
You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise use our website content except as permitted by law or with our prior written consent.
Project deliverables
Ownership and licensing of code, documentation, and other deliverables created during a paid engagement will be governed exclusively by the applicable signed services agreement or statement of work.
5. Acceptable Use
You agree not to:
- use the website in violation of any applicable law or regulation;
- attempt to gain unauthorized access to the website, servers, accounts, or related systems;
- interfere with the operation or security of the website;
- submit false, misleading, malicious, or infringing content through the website;
- use robots, scrapers, or automated means to access or collect data from the website except for legitimate search engine indexing or as otherwise expressly authorized by us.
6. Third-Party Services and Links
This website may rely on or contain links to third-party services, tools, or websites. We do not control and are not responsible for third-party services or websites, including their content, terms, availability, or privacy practices.
7. Disclaimer of Warranties
This website and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, devproj disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the website will be uninterrupted, secure, error-free, or free of harmful components, or that any content on the website is accurate, complete, or current.
8. Limitation of Liability
To the fullest extent permitted by law, devproj and its officers, managers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of, or inability to use, this website.
To the fullest extent permitted by law, devproj’s total aggregate liability for claims arising out of or relating to this website or these Terms will not exceed the greater of:
- $100 USD, or
- the amount you paid us, if any, specifically for access to or use of this website.
For the avoidance of doubt, this limitation applies only to claims arising from this website or these Terms, and not to any separate signed services agreement, statement of work, or other contract between you and devproj.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
9. Confidentiality
We aim to treat non-public project information shared through our contact form or initial consultations as confidential and to use it only for evaluating or discussing a potential engagement. However, unless and until the parties enter into a separate confidentiality agreement, nondisclosure agreement, or signed services contract containing confidentiality terms, you should not submit highly sensitive information that requires contractual confidentiality protection.
This section does not apply to information that:
- is or becomes public through no wrongful act by us;
- was already lawfully known to us without a duty of confidentiality;
- is independently developed without use of your confidential information; or
- must be disclosed by law, regulation, or valid legal process.
10. Suspension and Termination
We may suspend, restrict, or terminate access to the website at any time, with or without notice, if we believe you have violated these Terms, pose a security risk, or if suspension is otherwise necessary to protect the website or our rights.
11. Governing Law and Venue
These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws rules.
Any dispute arising out of or relating to these Terms or the website will be brought exclusively in the state or federal courts located in Columbus, Ohio, United States, and you consent to the personal jurisdiction and venue of those courts.
12. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
13. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised version on this page and update the “Last updated” date above. Your continued use of the website after the updated Terms are posted constitutes acceptance of the revised Terms, to the extent permitted by law.
